Introduction

Welcome to the Terms and Conditions ("Terms") for web design and development services provided by Anish Aryadev Biswal ("I", "me", "my"). These Terms govern the relationship between me and you ("Client", "you", "your") when you engage my services.

By commissioning my services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not engage my services.

Services

I offer a range of web design and development services including:

• Custom website design and development
• Responsive and mobile-first websites
• E-commerce websites with WhatsApp ordering
• Business websites (coffee shops, restaurants, etc.)
• React-based SaaS applications
• Website redesign and maintenance
• Consultation and technical support

The specific scope of work, deliverables, and timeline will be outlined in a separate project proposal or agreement signed by both parties.

Payment Terms

Payment for services is structured as follows:

• Deposit: A 50% deposit is required before work begins on any project.
• Milestone Payments: For larger projects, payments may be structured across multiple milestones (e.g., 50% deposit, 25% upon design approval, 25% before launch).
• Final Payment: The remaining balance is due before the final project delivery and launch.
• Payment Methods: I accept payments via bank transfer, UPI, or other agreed-upon methods.
• Late Payments: Late payments may incur a fee of 2% per month on the outstanding amount.

All prices are quoted in INR unless otherwise specified. Taxes, if applicable, will be added separately.

Project Timeline

Estimated timelines are provided based on the project scope and requirements. These are estimates and may be subject to change due to:

• Delays in client feedback or content delivery
• Changes in project scope
• Technical challenges
• Third-party dependencies

I will make reasonable efforts to meet agreed-upon deadlines and will communicate any delays in advance.

Revisions & Changes

Revisions: Each project includes a specified number of revision rounds. Additional revisions beyond what is included in your package may incur extra charges.

Scope Changes: If you request changes that are outside the original project scope, I reserve the right to charge additional fees or adjust the timeline accordingly.

Feedback: To ensure timely delivery, please provide clear and consolidated feedback within the agreed-upon timeline.

Intellectual Property

Ownership: Upon full payment, you will own the final deliverables (website code, designs, etc.). I retain the right to use the work in my portfolio and marketing materials unless otherwise agreed.

Third-party Assets: I may use third-party assets such as icons, fonts, or images. These are licensed separately and may have their own terms.

Confidential Information: All confidential information shared during the project will be kept confidential and used only for the purpose of the project.

Client Responsibilities

As a client, you agree to:

• Provide timely feedback and approvals
• Supply content (text, images, videos) in a timely manner
• Provide access to necessary systems, hosting, and accounts
• Ensure that all content provided does not infringe on third-party rights
• Make payments as agreed upon

Delays in fulfilling these responsibilities may result in project delays and additional costs.

Warranties

My Warranty: I warrant that the work will be performed in a professional manner and will conform to the agreed-upon specifications. I do not warrant that the website will be error-free or uninterrupted.

Client Warranty: You warrant that all content provided does not violate any third-party rights and is accurate and complete.

Third-party Services: I am not responsible for the performance or reliability of third-party services (hosting, APIs, plugins).

Limitation of Liability

To the maximum extent permitted by law, I shall not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of profits, revenue, or data
• Business interruption or loss of business opportunities
• Damages arising from third-party services or content

My total liability to you for any claim arising out of or relating to these Terms or my services shall not exceed the total amount paid by you for the specific project in question.

Termination

By Client: You may terminate a project at any time by providing written notice. Any work already completed will be invoiced at the agreed rate, and deposits are non-refundable.

By Me: I reserve the right to terminate a project if:

• You fail to make payments as agreed
• You do not provide necessary information or feedback
• You engage in illegal or unethical activities

In case of termination, you will be invoiced for work completed up to the termination date.

Confidentiality

Both parties agree to maintain the confidentiality of any confidential information shared during the project. This includes business strategies, financial information, and any proprietary data.

This confidentiality obligation shall survive the termination of these Terms and the completion of the project.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Bhubaneswar, Odisha, India.

Changes to Terms

I reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting on this page. Your continued use of my services after changes constitutes your acceptance of the updated Terms.
